1. About these terms

These Terms of Service ("Terms") govern your use of the Ambital platform, operated by [Company Name Ltd], a company registered in England and Wales (company number: [pending Companies House registration]).

By creating an account, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the platform.

2. Definitions

  • "Platform" - the Ambital web application and associated services
  • "User", "you" - any person who creates an account on Ambital
  • "Organisation" - a workspace created on the platform, which may have multiple members
  • "Content" - any data, files, or information you upload or create on the platform

3. Your account

  • You must provide accurate and complete information when creating an account.
  • You are responsible for keeping your login credentials secure and confidential.
  • You must be at least 18 years old to use Ambital.
  • One person per account - sharing credentials is not permitted.
  • You must notify us immediately if you become aware of any unauthorised access to your account.

4. What we provide

Ambital provides a business management platform including project management, time tracking, invoicing, sales pipeline, resource planning, and business administration tools. The platform is designed for fractionals, consultants, and freelancers operating in the UK.

We will use reasonable efforts to keep the platform available and performant, but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications from time to time.

5. Your responsibilities

  • You are responsible for the accuracy of all data you enter into Ambital.
  • You must not use the platform for any unlawful purpose.
  • You must not attempt to gain unauthorised access to other users' data or to any part of the platform's infrastructure.
  • You must not reverse-engineer, decompile, or attempt to extract the source code of the platform.
  • You are responsible for your own compliance with tax, legal, and regulatory obligations - Ambital is a tool, not a substitute for professional advice.
  • You must not use the platform to store or process special category data (e.g., health, biometric, or political data) unless you have a lawful basis to do so.

6. Your data

You retain full ownership of all data you enter into Ambital. We do not claim any intellectual property rights over your Content.

We process your data in accordance with our Privacy Policy and applicable data protection law (UK GDPR, Data Protection Act 2018).

You may export or delete your data at any time from your account settings.

7. Subscriptions & billing

  • A free plan is available with limited features.
  • Paid plans are billed in GBP (£) on a monthly or annual basis.
  • Prices are exclusive of VAT unless otherwise stated.
  • You can cancel your subscription at any time - access continues until the end of the current billing period.
  • We reserve the right to change pricing with 30 days' notice.
  • Refunds are provided at our discretion.

8. Client portal

If you use the client portal feature to share data with your clients, you are responsible for ensuring you have the appropriate legal basis to share that data. You act as the data controller for any personal data you share via the portal.

9. Intellectual property

The Ambital platform - including its design, code, branding, and documentation - is owned by [Company Name Ltd]. All rights are reserved.

Your Content remains yours. By using the platform, you grant us a limited licence to process your Content solely for the purpose of providing the service.

10. Limitation of liability

To the fullest extent permitted by English law:

  • The platform is provided "as is" and "as available" without warranties of any kind.
  • We are not liable for any indirect, incidental, special, or consequential damages, including loss of revenue, data, or business opportunity.
  • Our total liability for any claim arising from your use of the platform shall not exceed the amount you paid us in the 12 months preceding the claim.
  • Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your breach of these Terms, your use of the platform, or your violation of any applicable law.

12. Account termination

  • You may delete your account at any time from Settings > Privacy.
  • Account deletion is subject to a 30-day grace period during which you can cancel the request.
  • After the grace period, your data will be permanently deleted, except where retention is required by law (e.g., financial records for 6 years).
  • We may suspend or terminate accounts that violate these Terms, with notice where reasonably practicable.

13. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on the platform at least 30 days before they take effect. Continued use of Ambital after the effective date constitutes acceptance of the updated Terms.

14. Governing law & jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
